iLearnZed Terms of Service

1 Introduction

iLearnZed is an online learning platform designed to connect students, teachers, and educational institutions with curriculum-aligned learning resources, digital courses, live classes, and vocational skill development.

These Terms govern all access to and use of the Platform.

By creating an account, accessing services, or using the Platform in any manner, users agree to comply with these Terms.

2 Definitions

For the purposes of these Terms:

Platform
Refers to the iLearnZed website, mobile applications, software systems, and digital services operated by PrimeTutor Education Limited.

Company
Refers to PrimeTutor Education Limited, trading as iLearnZed.

User
Any individual or entity accessing or using the Platform.

Teacher / Content Provider
A registered user approved to upload and deliver educational materials or courses on the Platform.

Student / Learner
A registered user who accesses educational materials for learning purposes.

Institution
A school, training organization, or educational institution that uses the Platform to support student learning or institutional oversight.

Content
Includes videos, documents, notes, quizzes, assessments, graphics, text, software elements, and other educational materials uploaded to the Platform.

Account
A registered user profile granting access to Platform services.

3 Acceptance of Terms

3.1
By registering an account or using any feature of the Platform, users acknowledge that they have read, understood, and agreed to these Terms.

3.2
Users under the age of 18 years must obtain parental or guardian consent before creating an account or enrolling in courses.

3.3
iLearnZed may update these Terms periodically. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

4 User Accounts

4.1
Users must provide accurate and complete information during registration.

4.2
Users are responsible for maintaining the confidentiality of their login credentials and all activities conducted through their accounts.

Accounts may not be transferred, shared, sold, or sublicensed.

4.4
iLearnZed reserves the right to suspend, restrict, or terminate accounts involved in:

• Fraudulent activity
• Abuse of platform services
• Violations of these Terms

5 Teachers (Content Providers)

5.1 Eligibility

To become a Teacher on iLearnZed, an individual must:

• Be at least 18 years old
• Be legally capable of entering into a binding agreement
• Possess relevant academic or professional expertise
• Successfully complete the iLearnZed teacher approval process

iLearnZed reserves the right to accept or reject teacher applications at its discretion.

5.2 Independent Contractor Status

Teachers operate as independent content providers and are not employees, partners, or agents of iLearnZed.

Teachers are solely responsible for:

• Their educational content
• Compliance with applicable laws
• Payment of any applicable taxes on income earned through the Platform

5.3 Content Standards

Teachers agree to upload content that:

• Is original or properly licensed
• Is educational and accurate
• Aligns with appropriate academic or vocational standards
• Does not infringe intellectual property rights
• Does not contain unlawful, abusive, discriminatory, or misleading material

iLearnZed reserves the right to review, edit, or remove content that violates these standards.

5.4 Revenue and Payments

Teacher earnings are determined according to the applicable revenue model.

Post-Pilot Model:
70% of revenue from student enrollments is allocated to the Teacher and 30% to iLearnZed.

Payments are processed monthly, subject to:

• Verification of course participation
• Compliance with platform policies
• Resolution of any disputes or investigations

iLearnZed reserves the right to temporarily withhold payments where fraud, misconduct, or policy violations are suspected.

5.5 License to Platform

Teachers retain ownership of their original content.

However, by uploading materials to iLearnZed, Teachers grant the Company a non-exclusive, worldwide, royalty-free license to host, store, display, distribute, and promote such content for educational and operational purposes.

6 Students (Learners)

6.1 Use of Platform

Students agree to use iLearnZed solely for educational purposes.

Students must not:

• Redistribute paid course materials
• Resell platform content
• Share restricted materials publicly

6.2 Student Conduct

Students must:

• Treat teachers and other learners respectfully
• Avoid harassment, abuse, or disruptive behavior
• Refrain from attempting to manipulate or exploit platform systems

6.3 Certificates and Learning Records

Certificates or progress reports may be issued upon completion of course requirements.

iLearnZed reserves the right to revoke certificates obtained through dishonest practices, including cheating or unauthorized account sharing.

7 Institutional Users

Schools, training centers, or organizations using the Platform may create institutional accounts.

Institutional administrators may:

• Monitor student progress
• Manage learning groups
• Access aggregated learning data

Institutions remain responsible for ensuring that their users comply with these Terms.

8 Acceptable Use Policy

Users agree not to:

• Upload malware, viruses, or harmful code
• Reverse engineer or attempt to access platform source code
• Impersonate another individual
• Use bots or automated scraping tools
• Post illegal, defamatory, or abusive content

Violations may result in account suspension or permanent termination.

9 Intellectual Property

All trademarks, logos, software systems, design elements, and branding associated with iLearnZed remain the exclusive property of PrimeTutor Education Limited.

Users may not reproduce, copy, distribute, or commercially exploit any platform materials without written authorization.

10 Privacy and Data Protection

User information is handled according to the iLearnZed Privacy Policy and the Zambia Data Protection Act, 2021.

Personal data is collected only for purposes necessary to:

• Operate the Platform
• Deliver educational services
• Process payments
• Improve platform performance

Users should review the Privacy Policy for detailed information.

11 Third-Party Services

The Platform may integrate with external technologies such as:

• Video conferencing tools
• Payment gateways
• Cloud hosting infrastructure
• Analytics systems

iLearnZed is not responsible for service interruptions or privacy practices of third-party providers.

12 Limitation of Liability

The Platform is provided “as is” and “as available.”

iLearnZed does not guarantee:

• Uninterrupted service
• Error-free operation
• Guaranteed academic outcomes

To the fullest extent permitted by law, iLearnZed shall not be liable for:

• Loss of income or opportunity
• Data loss
• Technical failures
• Disputes between users
• Actions of independent teachers or students

13 Termination

iLearnZed may suspend or terminate any account that:

• Violates these Terms
• Engages in fraudulent or abusive activity
• Compromises platform integrity

Users may also close their accounts by submitting a request to the official support email.

14 Governing Law

These Terms are governed by the Laws of the Republic of Zambia.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation.

If unresolved, disputes shall be referred to arbitration in Lusaka in accordance with the Arbitration Act.

15 Parent or Guardian Consent

Where a Student is under 18 years old:

• A parent or legal guardian must approve the account.
• The guardian assumes responsibility for supervising the minor’s use of the Platform.
• iLearnZed provides educational services and does not assume legal parental responsibility (in loco parentis).

16 Indemnification

Users agree to indemnify and hold harmless PrimeTutor Education Limited (iLearnZed) from any claims, damages, losses, or legal expenses arising from:

• Misuse of the Platform
• Violation of these Terms
• Infringement of third-party rights
